The Additional ADSs are expected to be delivered concurrently with the closing of the Offering, which is expected to close on July 6, 2026. Following the exercise in full of the over-allotment option, the total number of ADSs issued in the Offering will amount to 7,360,000 ADSs, resulting in gross proceeds for the Company of approximately $920.0 million (€807.4 million) and estimated net proceeds, after deducting underwriting commissions and estimated offering expenses payable by the Company, of approximately $874.1 million (€767.1 million).
