(NYSE American: AIM) (“AIM” or the “Company”, today announced that it has entered into definitive agreements for a registered direct offering priced at-the-market under NYSE Rules of an aggregate of 7,519,351 shares of common stock, par value $0.001 per share (the “Common Stock”) (or common stock equivalents in lieu thereof) at a purchase price of $0.325 per share. The gross proceeds to the Company from the offering are expected to be approximately $2.4 million, before deducting placement agent commissions and other offering expenses. In addition, in a concurrent private placement, the Company will issue and sell unregistered Series I warrants (the “Series I Warrants”) to purchase up to 15,038,702 shares of Common Stock. The Series I Warrants will have an exercise price of $0.325 per share, will be exercisable subject to stockholder approval and will expire five (5) years from the initial exercise date. Ladenburg Thalmann &amp; Co. Inc. is acting as the exclusive placement agent for the offering. The offering is expected to close on or about May 21, 2026, subject to the satisfaction of customary closing conditions.
