Company expects merger to close in July

Merger to create diversified AI-driven operating company

BOULDER, Colo., June 11, 2026 (GLOBE NEWSWIRE) -- Auddia Inc. (NASDAQ: AUUD) (“Auddia” or the “Company”), an AI first technology company that has built a proprietary AI platform for audio identification and classification to reinvent how consumers engage with audio and how artists get discovered, today announced that it has received the initial comment letter from the U.S. Securities and Exchange Commission (SEC) regarding the Company’s Form S-4 registration statement filed on May 14, 2026 in connection with its proposed merger with McCarthy Finney, Inc. (“MCFN”).

Auddia expects to file an amended S-4 addressing all comments early next week and anticipates the registration statement will proceed through the normal review cycle.

Although the timeline remains subject to SEC clearance, Nasdaq approval, and an affirmative shareholder vote, the Company anticipates these will be achieved in support of a merger closing occurring in July.

The proposed merger with MCFN is designed to create a diversified AI-driven operating company with four core subsidiaries, LT350, Influence Healthcare, Voyex, and Auddia. Each will leverage the McCarthy Finney Operating System (MCFN-OS) to drive efficiency and scale.

About the Merger to form McCarthy Finney

Auddia entered into a definitive merger agreement on February 17, 2026. The merger contemplates a business combination between Auddia Inc. and Thramann Holdings, LLC, a single member Colorado LLC. Thramann Holdings fully owns LT350, Influence Healthcare, and Voyex, three early-stage AI native operating companies. Upon merger completion, Auddia will change its name to McCarthy Finney and trade under the ticker MCFN.
