Johansen A/S has obtained at least 90% acceptance in connection with its recommended voluntary cash offer for Elektroimportøren AS Reference is made to the company announcement dated 3 July 2026 regarding the recommended voluntary cash offer (the “Offer”) to all shareholders of Elektroimportøren AS (the “Company” or “Elektroimportøren”) by Brødrene A. &amp; O. Johansen A/S (the “Offeror”) as described in the offer document published on the same date (the “Offer Document”), at NOK 22 per share, subject to the terms and conditions in the Offer Document and to the announcement published on 22 July 2026 regarding the receipt of regulatory approval from the Norwegian Competition Authority (the "NCA Approval Announcement"). As of 07:30 (CEST) on 6 August 2026, and subject to customary verification, the Offeror has received acceptances from shareholders in the Offer in respect of at least 46,967,074 shares in Elektroimportøren, representing approximately 92.5% of the issued and outstanding share capital and voting rights of the Company on a Fully Diluted Basis (as defined in the Offer Document). The Offer Period expired at 16:30 (CEST) on 5 August 2026. As previously announced by the Offeror on 22 July 2026, the closing condition (c) "Regulatory approval(s)" as set out and defined in Section 1.6 (titled "Conditions for Completion of the Offer") of the Offer Document has been satisfied. As a consequence, there are currently no outstanding closing conditions to be obtained or waived.
