Lake County is Indiana's second-most populous county, serving residents in the greater Chicago metropolitan region. The BreathLogix system will support court-ordered alcohol monitoring initiatives administered by Lake County’s community corrections program staff. The deployment is designed to assist program administrators in monitoring participant compliance with court-imposed abstinence requirements while improving operational efficiency and reducing administrative burden. Under the program, participants are required to undergo scheduled or random alcohol testing as a condition of probation, treatment, pre-trial release, or other court-supervised programs. The deployment is being facilitated by AlcoPro, Inc., an authorized reseller. The Agreement is effective September 9, 2026, for a term of six months. In consideration for the services to be provided under the Agreement, the Company has agreed to pay OTBC a one-time cash fee of $150,000 plus applicable taxes and 335,000 stock options (the “Options”) to acquire common shares of the Company at an exercise price of $0.45 per share for a period of one year from the date of grant. The Options will vest in accordance with the policies of the Canadian Securities Exchange and the Company's equity incentive plan. Any common shares issued upon the exercise of the Options will be subject to a statutory hold period of four months and one day from the date of issuance, in accordance with applicable securities laws.
