As a result of the Buyout Payment Default, the Buyout Agreement terminated in accordance with its terms, and the Community Carbon Stream remains in full force and effect. Pursuant to the terms of the Buyout Agreement, the UPE Parties agreed to acquire the Company’s interest in the Community Carbon Stream and related carbon credit inventory for total consideration of US$6.0 million, consisting of a US$100,000 non-refundable deposit payable on or before March 23, 2026 (which was received by the Company on March 23, 2026), a US$4.9 million closing payment payable on or before May 30, 2026, which increased to US$5.0 million if paid on or before June 30, 2026, and US$1.0 million payable in installments for the purchase of all of the Company’s carbon credits from the Project held in its inventory as of March 12, 2026.
