The completion of the Offering is subject to market conditions. Clariane intends to use the net proceeds from the Offering, if completed, together with cash on hand, to (i) repay and cancel in full the term loan facility of €350.0 million made available under its existing facilities agreement, (ii) repay and cancel in full the real estate term loan facility of €150.0 million made available under its real estate term loan facility agreement, and (iii) pay fees and expenses in relation to the Offering. Clariane has obtained the agreement of its banking partners, subject to the completion of the Offering, to enter into a €700 million revolving credit facility, which would replace its existing facilities agreement. This new €700 million revolving credit facility1 will have a maturity of five years and could be used for the company’s general corporate purposes2. Drawdowns under the facility would bear interest at a floating rate3 determined by reference to the group’s total net leverage ratio, with an additional ESG-linked margin adjustment mechanism. This new revolving credit facility would have a single financial covenant, namely the “Wholeco” total net leverage4.
