As previously announced on April 22, 2026, the Company received a notification letter from the Nasdaq Listing Qualifications Department on April 17, 2026 (the “Initial Notice”) as a result of its failure to timely file its Annual Report on Form 10-K for the fiscal year ended December 31, 2025 (the “Form 10-K”). The notices have no immediate effect on the listing or trading of the Company’s ordinary shares on the Nasdaq Global Market. Under Nasdaq rules, the Company has 60 calendar days from receipt of the Initial Notice, or until June 16, 2026, to submit a plan to regain compliance. If Nasdaq accepts the Company’s plan, Nasdaq may grant an exception of up to 180 calendar days from the Form 10-K due date, or until October 12, 2026, for the Company to regain compliance. The Company intends to take the necessary steps to regain compliance with Nasdaq's listing rules as soon as practicable.
