(TSXV: JZR) (OTCPK: JZRIF) (the “Company” or “JZR”) is pleased to announce that it has completed its previously announced non-brokered private placement (the “Offering”) of units (each, a “Unit”) at a price of $0.25 per Unit. Pursuant to the Offering, which was announced on June 22, 2026, the Company has issued 4,000,000 Units for aggregate gross proceeds of CAD$1,000,000. Each Unit consists of one common share in the capital of the Company (each, a “Share”) and one common share purchase warrant (each, a “Warrant”). Each Warrant is exercisable into one additional Share (each, a “Warrant Share”) at a price of $0.35 per Warrant Share for a period of two (2) years from the date of issuance. The Company paid cash finder’s fees of $6,000 and also issued 24,000 non-transferable finder warrants (the “Finder Warrants”). The Finder Warrants are issued on the same terms as the Warrants.
