Mr. Beaudoin is a precious metal mining executive with more than 30 years of diversified mining, mineral processing, design, construction and start-up experience. Under the terms of the Offering, the investors have agreed to subscribe for units of the Company (the “Units”) at a price of $0.12 per Unit for aggregate gross proceeds of $6,750,000. Each Unit will consist of one common share of the Company (a “Common Share”) and one common share purchase warrant (a “Warrant”). Each Warrant will entitle the holder to acquire one additional Common Share at a price of $0.16 per Common Share for a period of 36 months from the date of issuance.
