The gross proceeds from the Offering are expected to be approximately $1.2 million, before deducting offering expenses. In addition, in a concurrent private placement, the Company will issue and sell warrants to purchase up to 1,200,000 ordinary shares (the " Warrants"). The Warrants will have an exercise price of $1.00 per share, will be exercisable immediately upon issuance, and will expire 5.5 years following the issuance date. The closing of the Offering is expected to occur on or about June 9, 2026, subject to the satisfaction of customary closing conditions.  The Company intends to use the net proceeds from the Offering for working capital and general corporate purposes, as well as for potential acquisitions.
