The shares were issued at a deemed price of CAD$3.99 per Class B Share, representing the closing price of the Class B Shares on the Canadian Securities Exchange (the “CSE”) on the trading day immediately prior to the date of closing. In full settlement of the debt, the Company issued an aggregate of 30,948 Class B Shares to the Creditors (the “Debt Settlement”).
