(ASX: RAU; TSX-V: RSM; FSE: 8TX) ("Resouro" or the "Company") is pleased to announce that it has completed the second closing and final tranche (the ”Final Tranche”) of its previously announced non-brokered private placement (the “Private Placement”). The Final Tranche consists of the issuance of 2,560,000 common shares at a price of $0.25 per common share, for additional gross proceeds of $640,000. Together with the first tranche, which closed on August 6, 2026, Canada, (August 7, 2026, Australia), the Company has issued a total of 10,000,000 common shares at a price of $0.25 per common share, for aggregate gross proceeds of $2,500,000, under the Private Placement. The Company paid a cash finders’ fee of $4,500 that will be paid in connection with the Offering. All securities issued under the Offering are subject to a statutory hold period of four months plus one day from the date of issuance, in accordance with applicable Canadian securities laws and TSX Venture Exchange policies.
