Under the terms of the securities purchase agreement, the Company has agreed to sell to certain institutional investors an aggregate of approximately $4 million of the Company's securities, including 20,000,000 Class A ordinary shares (the "Shares") (or pre-funded warrants in lieu thereof), at an offering price of $0.20 per share in the Offering.
