(“Cortigent”), ClearOne, Inc. (“ClearOne”), a Nasdaq-listed company, and a wholly owned subsidiary of ClearOne (“MergerSub”), pursuant to which Cortigent will become a wholly owned subsidiary of ClearOne (the “Transaction”) upon consummation.
