(“WISeKey” or the “Company”) (SIX: WIHN, NASDAQ: WKEY) announces that, at the Extraordinary General Meeting (“EGM”) held on September 9, 2026, its shareholders approved the proposal of the Company's board of directors relating to the Company’s redomiciliation from Switzerland to the British Virgin Islands. Shareholders approved the merger agreement dated June 26, 2026 between WISeKey and WISeKey International Corp., a British Virgin Islands business company and wholly owned subsidiary of WISeKey (“WISeKey BVI”), and the merger of WISeKey with and into WISeKey BVI, with WISeKey BVI as the surviving company. Upon completion of the merger, the domicile of WISeKey's group holding company will be in the British Virgin Islands instead of in Switzerland. The shareholder approval of the merger represents an important milestone toward completion of the merger and thus the redomiciliation. The Company will now proceed with the remaining steps required to complete the merger, which remains subject to the satisfaction of the applicable closing conditions.
