(NYSE: NEE) and Dominion Energy, Inc. (NYSE: D), following shareholder approval of the transaction by both companies on September 3, 2026. The proposed all-stock combination would bring together two major U.S. energy businesses and create a significantly larger platform for investment in electricity generation, transmission, distribution and other energy infrastructure. The combined company would serve approximately 10 million utility customer accounts across Florida, Virginia, North Carolina and South Carolina. Supporting America's Growing Energy Demand Wynson Securities Limited said the proposed combination comes at a time of increasing electricity demand across the United States, driven by data-center development, industrial expansion, electrification and broader economic growth. The combined company would have approximately 110 gigawatts of generation across a diversified portfolio that includes natural gas, nuclear power, renewable energy and battery storage. More than 80% of the combined company's operations would be regulated, providing a platform for continued investment in generation, transmission, distribution and grid resilience. The companies have said the combination is intended to provide greater scale to finance, develop, construct and operate the infrastructure required to support growing electricity demand. Benefits for Customers As part of the proposed transaction, the companies have committed to providing $2.25 billion in shareholder-funded bill credits to Dominion Energy customers in Virginia, North Carolina and South Carolina over two years following completion of the transaction. The companies have also committed that merger-related costs will not be passed on to customers. Dominion Energy's operating companies would remain locally led and separately regulated, with Dominion Energy Virginia, Dominion Energy North Carolina and Dominion Energy South Carolina continuing to operate under their respective names. Transaction Structure Under the terms of the agreement, Dominion Energy shareholders will receive 0.8138 shares of NextEra Energy for each Dominion Energy share they own at the closing of the transaction. Following completion, NextEra Energy shareholders are expected to own approximately 74.5% of the combined company, while Dominion Energy shareholders are expected to own approximately 25.5%. The transaction is structured as an all-stock combination and is expected to be tax-free to shareholders, subject to applicable tax requirements. The combined company will operate under the NextEra Energy name and continue trading on the New York Stock Exchange under the ticker NEE. Shareholder Approval and Regulatory Review Shareholders of both companies approved the proposed transaction on September 3, 2026, marking an important milestone toward completion. The transaction remains subject to additional regulatory approvals and customary closing conditions. The companies have filed applications with the Virginia State Corporation Commission, North Carolina Utilities Commission, Public Service Commission of South Carolina, Federal Energy Regulatory Commission and Nuclear Regulatory Commission.
